1. ACCEPTANCE OF TERMS

Welcome to SkyTech Services, LLC ("SkyTech," "we," "us," or "our"). By accessing or using our drone map processing Software-as-a-Service (SaaS) platform (the "Service"), you agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. DESCRIPTION OF SERVICE

SkyTech provides a SaaS platform that enables users to process drone imagery, create orthographic maps, generate 3D models, and perform related mapping functions. The Service may include free and paid subscription tiers with varying features and usage limits.

3. ELIGIBILITY

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Service. By using our Service, you represent and warrant that you meet these eligibility requirements.

4. ACCOUNT REGISTRATION

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. SUBSCRIPTION AND PAYMENT

5.1 Subscription Plans

We offer various subscription plans with different features, usage limits, and pricing. You can find details of our current subscription plans on our website.

5.2 Payment

By subscribing to a paid plan, you agree to pay the applicable fees as described on our website. Payments are due in advance for each subscription period. We may use a third-party payment processor to handle payments.

5.3 Subscription Renewal and Cancellation

Your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You can cancel your subscription through your account settings. Upon cancellation, you will retain access to the Service until the end of your current subscription period.

5.4 Refunds

All fees are non-refundable, except as required by law or as otherwise expressly provided in our refund policy.

6. USER CONTENT

6.1 User Content Ownership

You retain ownership of all imagery, data, and mapping deliverables you upload to or create using our Service ("User Content").

​

6.2 License to SkyTech

By using our Service, you grant SkyTech a limited, non-exclusive, royalty-free license to use your User Content for the following purposes:

  • Providing and operating the Service

  • Improving and optimizing the Service

  • Internal analytics and research

  • Anonymized AI training (as described in our Privacy Policy)

  • Marketing materials (using anonymized/aggregated data only)

This license terminates when you delete your content from our platform, except for anonymized data already incorporated into AI training datasets.

​

6.3 User Content Responsibility

You are solely responsible for your User Content and the consequences of uploading or processing it through our Service. You represent and warrant that:

  • You have all necessary rights and permissions to use and share your User Content

  • Your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or contractual rights

  • Your User Content complies with all applicable laws and regulations

6.4 Data Classification Responsibility

You are solely responsible for ensuring you have the legal right to upload and process any imagery or data through our Service, and for determining the sensitivity and classification of such data.

7. ACCEPTABLE USE

You agree to use our Service in compliance with these Terms and all applicable laws and regulations. You agree not to:

  • Use the Service for any illegal or unauthorized purpose

  • Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable

  • Interfere with or disrupt the Service or servers or networks connected to the Service

  • Attempt to gain unauthorized access to the Service or other users' accounts

  • Use any automated means to access the Service or collect data from the Service

  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

  • Violate any third-party rights, including intellectual property rights, privacy rights, or contractual rights

8. INTELLECTUAL PROPERTY

8.1 SkyTech Intellectual Property

The Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SkyTech, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Trademarks

The SkyTech name, the SkyTech logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SkyTech or its affiliates or licensors. You must not use such marks without the prior written permission of SkyTech.

8.3 Restrictions

You may not modify, copy, reproduce, republish, upload, post, transmit, distribute, or create derivative works based on the Service or any content, features, or functionality thereof without the prior written permission of SkyTech.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SKYTECH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKYTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless SkyTech, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

12. TERMINATION

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of [INSERT STATE], without regard to its conflict of law provisions.

14. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Dallas, Texas.

15. CHANGES TO TERMS

We may modify these Terms at any time. We will post the updated Terms on our website and notify you of any material changes. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and SkyTech regarding your use of the Service and supersede all prior and contemporaneous understandings and agreements, whether written or oral, regarding the Service.

17. WAIVER

No waiver by SkyTech of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SkyTech to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. SEVERABILITY

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
